Introduction

We are looking for an organised, enthusiastic, and knowledgeable individual to join Saltus, as the Group Company Secretary. This will be a key role, supporting the legal, regulatory and governance responsibilities of the group, ensuring the best practice delivery of corporate governance and company secretarial principles.

You’ll work in a fast-paced, collaborative environment where you’ll be able to utilise your skills and expertise to support the groups growth. The role will not require an FCA Controlled Function or Certificate.

Originally the business started out as an investment manager and has now developed the financial planning side of the offering, putting this at the forefront of the client relationship.

Today Saltus manages and advises on over £4 billion of client assets, acquired through a combination of organic business growth and corporate acquisitions.

 

Can you tell me more about the role?

You’ll have responsibility for a wide range of duties across both the FCA regulated and unregulated entities within the Saltus Group, including the following:

  • Responsible for the establishment and management of the Saltus Boards (appointment of Board Directors and NEDs, terms of reference, meeting logistics, Board reporting papers, annual Agenda items, minutes and actions to meet our regulatory and legal obligations)
  • Coordinating Board and Committee meetings and compiling and distributing meeting packs and relevant papers
  • Working with the Group Compliance team to ensure any individual regulatory permissions are up to date
  • Assistance in the Governance structure for the Group, including maintenance of records at Companies House
  • Ownership of the Registers of Directors, Registers of Members, Share Registers and any other corporate statutory documents as may be required
  • Working with the Chief Compliance officer (“CCO”) to ensure Senior Management Function (“SMF”) holders have up to date Statements of Responsibility (“SOR”) and with the Chief People Officer (“CPO”) to ensure job descriptions are correct and up to date at all times
  • Management of Group Risk Register and co-ordinating quarterly updates thereof
  • Ownership of the Conflicts of Interest Register, GDPR Breaches log and other such central registers as may be required

 

What skills and experience do I need to have?

We think that the best candidate for this role will have:

  • Experience of working in a Company Secretarial role for a complex corporate group
  • Energy and passion, with the ability to be self-led to drive and iterate positive change and improvement
  • Excellent interpersonal, verbal, and written communication skills with strong attention to detail
  • Outstanding communication skills, able to communicate with departments across the business, at all levels
  • The ability to take ownership and responsibility for tasks and projects, working autonomously and collaborating as needed with key stakeholders
  • Proficient computer skills, Microsoft Office Suite (Word, PowerPoint, Outlook, SharePoint, and Excel)
  • A willingness and flexibility to travel to office sites as required
  • Company Secretarial qualification would be desirable

 

Where will I be working?

We’re incredibly flexible about where, when, and how you work: we don’t want anyone to be prevented from coming to work for Saltus as a result of the working pattern that they’re looking for.  We’re looking for someone who is able to be based out of our Solent office for two to three days each week, working the remainder of the week from home.
